Puwabi (puwabi.com) operates strictly as an enterprise-level contract manufacturer and factory-direct B2B supplier. This platform functions exclusively as a commercial digital catalog, architectural showcase, and institutional inquiry matrix. Puwabi does not process direct retail transactions, retail credit card checkouts, or consumer-grade online payments. By navigating this platform or initiating a procurement dialogue via our integrated commercial routing, you formally agree to be bound by the following business-to-business (B2B) Terms of Service.

  1. B2B Sourcing Scale & Minimum Order Quantity (MOQ) As a high-capacity manufacturing facility optimizing industrial production runs, Puwabi strictly accommodates volume-based business-to-business (B2B) transactions and trade project procurement.

  • Seating Configurations: Standard production runs require a strict Minimum Order Quantity (MOQ) of 30 to 50 pieces per model/color, subject to specific factory scheduling, mold allocation, and material runs.

  • Casegoods & Tables: Structural project tables (dining tables, coffee tables, and side tables) are offered primarily as complementary solutions to accompany volume seating orders, or under customized trade agreements meeting separate factory thresholds.

  • Client Qualification: We do not fulfill individual single-piece end-consumer orders. Sourcing for estate-scale private residential projects, luxury hospitality properties, fine-dining establishments, and corporate real estate developments that meet our bulk factory MOQ thresholds is fully supported.

  1. B2B Consultation, WhatsApp Routing, and Proforma Invoice (PI) Execution To maintain the integrity of commercial contract pricing and complex custom specifications, all procurement actions are transitioned from digital viewing to offline corporate trade negotiation.

  • The Sourcing Gateway: Clients are directed to initiate formal procurement, design specification synchronization, and customized material consulting via our integrated Shopify Inbox live communication portal or our verified corporate WhatsApp trade desk (+86 136 9056 6655).

  • Legal Contract Execution: No binding transaction occurs directly on the website interface. A transaction is formalized exclusively when a tailored Proforma Invoice (PI) or Commercial Sourcing Agreement is systematically generated by our trade desk, signed by both parties, and validated by our finance department.

  1. Commercial Payment Infrastructure (Traditional Foreign Trade Settlement) In alignment with global maritime trade practices and standard industrial corporate accounting, Puwabi utilizes established commercial B2B payment modalities.

  • Accepted Modalities: All transaction settlements must be executed offline via international Telegraphic Transfer (T/T via reputable corporate banking channels) or Verified Irrevocable Letters of Credit (L/C), as explicitly detailed on your finalized Proforma Invoice (PI).

  • Standard Milestone Matrix: Unless expressly negotiated otherwise under specific institutional contract riders, our standard production matrix requires a mandatory 30% advance deposit to activate raw material procurement and secure the factory manufacturing queue, with the remaining 70% balance settled in full prior to container loading and vessel departure from our designated China shipping hubs.

  1. Estimated Production Windows, Lead Times, and Force Majeure

  • Fabrication Estimates: Production windows stamped on formal Proforma Invoices (PI) are data-backed industrial estimates, not absolute calendar guarantees. Real-time timelines fluctuate based on seasonal raw material positioning, customized fabric dye-lot processing tolerances, and existing factory queue volumes.

  • Exclusion of Consequential Damages: Puwabi shall not be held financially or operationally liable for secondary financial losses, site installation delays, interior opening penalties, or commercial project overheads incurred due to production extensions or localized maritime supply-chain bottlenecks.

  • Force Majeure: Factory manufacturing schedules may be suspended without corporate liability in the event of unpredictable external disruptions (Force Majeure), including raw material grid failures, governmental supply-chain interventions, localized labor anomalies, severe weather patterns, or systemic global maritime congestion.

  1. International Maritime Freight, Logistics, and Incoterms All pricing structures and global logistics operations managed by Puwabi operate strictly under standard international Incoterms: FOB (Free on Board - Port of Guangzhou/Shenzhen) or CIF (Cost, Insurance, and Freight).

  • Systemic Price Placeholders: Any pricing or logistical summaries reflecting $0.00 within the digital catalog shell act strictly as structural, systemic placeholders. They do not constitute free delivery or finalized pricing.

  • Offline Freight Auditing: The definitive volumetric ocean freight costs, container consolidation fees, localized Terminal Handling Charges (THC), and destination country import tariffs must be calculated, audited, and fully settled offline via our designated freight forwarders or your authorized shipping agent in tandem with the final 70% PI balance payment before loading sequence initiation.

  1. Governing Law & Jurisdictional Statutes These Terms of Service, along with any separate commercial purchase orders whereby Puwabi provides factory fabrication services, shall be governed by, and construed in accordance with, standard international maritime commercial trade laws and the manufacturing jurisdiction statutes governing our primary corporate manufacturing facilities.
